Michael Robinson

Founder

Michael has been drawn to entrepreneurship for as long as he can remember. At 19, while working at a local scuba shop, he launched his first business selling dive gear online. The first product he sold was a backup pony tank—sometimes called a “second air source”—which later inspired the name Second Air Capital.

Since then, he has built a 15-year career at the intersection of strategy and operations. He earned his MBA from UCLA Anderson and spent over five years at Boston Consulting Group, where he rose to the level of Principal and led digital transformation and growth strategy initiatives for Fortune 500 clients. He later held growth-focused executive roles in high growth startups and large corporations and co-founded a $1m venture-backed software business.

Michael lives in New York City and enjoys traveling, reading, playing team sports, snowboarding, scuba diving — really, anything outdoors. Through Second Air Capital, he’s looking to acquire a well-run small business and lead it with integrity, care, and a long term commitment to sustainable growth.
Investment Criteria

What I Look for in an Acquisition

I understand no business will check every box. These criteria help guide my search and evaluate opportunities fairly and thoughtfully

People

  • Executive leadership willing to stay for a transition period to ensure continuity and knowledge transfer
  • Key team members beyond the owner who will stay with the business post-acquisition and help drive the next phase of growth
  • Not overly dependent on the owner’s personal involvement or relationships

Business

  • Mission critical product or service
  • Recurring or repeat revenue
  • Ideally no single customer represents more than 20% of the revenue
  • Demonstrated resilience during downturns (e.g., 2008, COVID-19)
  • Operating in a large, fragmented market

Financials

  • $750k+ EBITDA with 10%+ EBITDA margin in the last 3 years
  • Consistent financial performance over the past 5 years without major fluctuations
  • Low Capex / working capital, enabling reinvestment into growth

We start with a confidential 45-minute call to learn about you, your business, and your goals for the future. Our goal is to understand what makes your company unique and how we might build on its legacy. We’ll also share more about who we are, our approach, and why we could be the right successor for your business.

We’ll work together to evaluate whether a partnership is the right fit. We’d love to meet in person to learn more about your business and goals. During this stage, we’ll request basic financial information to help us provide a ballpark valuation. This step typically lasts 15–30 days and allows both sides to decide whether to move forward toward a Letter of Intent (LOI)

Once we agree on the key terms, we’ll provide a Letter of Intent (LOI)—a non-binding document that outlines the purchase price and other terms. While not legally binding, the LOI includes a standard exclusivity period (typically 90 days), which allows me to invest in deeper diligence and prepare for a successful transition together

Once the LOI is in place and we enter the exclusivity period, we’ll begin a more detailed review of the business—covering operations, financials, legal, and accounting. With your approval, we’d also like to meet key team members, customers, or suppliers to better understand what sets the business apart. During this time, we’ll also work together to finalize the deal terms, purchase agreement, and transition plan.

On the day of closing, we’ll sign the final documents, wire the funds, and celebrate together. From there, we’ll follow the transition plan we’ve agreed on to ensure a smooth handoff. I’m excited to carry your legacy forward and lead the company into its next chapter.
